SERVICE AGREEMENT (Effective July 31, 2020)
Thank you for signing up for the services offered by Bookkippers Hub Inc. (referred to as "Bookkipper", "we","our", or "us"). By placing an order and clicking to accept this Agreement or using or accessing any Bookkipper Service or related services, you agree to all the terms and conditions of this Service Agreement (“Agreement”).
If you are using a Bookkipper service or related services on behalf of a company or other entity, then “Customer” or “you” means that entity, and you are binding that entity to this Agreement. You represent and warrant that you have the legal power and authority to enter into this Agreement either as an authorized representative of an organization/company or as an individual doing business.
Please note that we may modify this Agreement, so you should make sure to check this page from time to time. This Agreement includes any Order Forms and Service-Specific Terms as well as any policies or exhibits linked to or referenced herein including a Detailed Pricing Table.
If you do not agree to the terms of the Agreement and or are not willing to be bound by these terms and conditions, you should not select “ACCEPT,” and may not access or otherwise use Bookkipper services.
This Agreement is effective as of July 31, 2020.
This Agreement includes by reference the Order Form and payment terms provided to you on the website for the Services. The "Order Form" – Includes the Customer's details, means of payment and a list of services of which the Customer wishes to subscribe.
Your Rights to Use the Services:
1) You are granted the right to use the Services in a personal, limited, nonexclusive, nontransferable capacity and only for the purposes described by Bookkipper. We reserve all other rights in the Services. You may enjoy this right to use on condition that your payment obligations are complied with.
2) You agree not to use, nor permit any third party to use, the Services in a manner that violates any applicable law, regulation or this Agreement. You agree you will not: Provide access to or give any part of the Services to any third party. Reproduce, modify, copy, sell, trade, lease, rent or resell the Services. Decompile, disassemble, or reverse engineer the Services. Make the Services available on any file-sharing or application hosting service.
Term and Renewal:
All account Agreements are for an initial term of one (1) quarter or one (year) depending on the options selected during the subscription and becomes effective starting on the quarter the subscription was made. Bookkiipper will automatically renew for successive quarters or years unless either party gives the other party written notice of its intent to terminate via email or payment of service fees have not been paid in advance based on the Customer’s selected Service/s.
Services:
All details of services are posted and described in the Website of Bookkipper. Annual ITR will only be prepared for clients that have enrolled for one whole year. Manual Books preparation is not included in the fees except when subscribed separately.
Payment of Service Fees and Government Related Fees:
The Customer agrees to pay all fees or charges to its account in accordance with the fees, charges, and payment terms in effect in ADVANCE prior to the processing of the service. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities in your respective countries, and you shall be responsible for payment of all such taxes, levies, or duties.
Quarterly or Annual payments for fees must be made 10 days prior to the start of each quarter or year. For those availing of payments services, payments for taxes or contributions must be made at most two days from receipt of the specific report for payment.
If a Customer is not able to pay the amount of service fees and government fees in ADVANCE to Bookkipper bank account and submitted the deposit slip for verification, Bookkipper WILL NOT PERFORM the Service. ONLY upon receiving the acknowledgement email from Bookkipper that we have received your payment will the Service be started and performed. Any government penalties and additional services to be performed resulting from late payments shall be for the account of the Customer.
Payment schedules will be sent to you via email for your reference at the beginning of the Initial Service Term. Reminders of the payment schedule will be sent on a regular basis to ensure that you are aware of payments that are due. You are responsible for providing complete and accurate billing and contact information to us and notifying us of any changes to such information.
A scanned copy of a valid deposit to the following bank account should be made to confirm payment for your account.

A clear copy of the bank deposit slip of every payment made should be sent by email to the following email address:

An acknowledgement email and a copy of your official receipt will be sent to you via e-mail for every payment made to confirm your payment. If you do not receive a copy an email acknowledging the payment, the Customer should make a follow up email or call to Bookkipper. All original official receipts for services paid will be sent to your registered address by mail. If your payment and registration information is not accurate, current, and complete and you do not notify us promptly when such information changes, we may suspend or terminate your account and refuse any use of the Services.
Upgrade/Downgrade:
For any upgrade or downgrade in plan level, you will automatically be charged the new rate on your next payment cycle and a new schedule of payments will be sent to you via email. Downgrades are only allowed at the start of the calendar year or fiscal year of the Customer. Contact Bookkipper for any upgrade or downgrade to your account at the following email address:

Automatic Upgrade:
For any automatic upgrade, you will automatically be charged the new rate on the same month via email. This will include automatic upgrades for services that have reached the maximum allowable limits of transactions as specified in the services. Cancellation /Termination / Refunds:
You may provide a cancellation notice via email to Bookkipper at the following email address:

If you cancel the Service before the end of your current agreement, your cancellation will take effect the quarter following the date of cancellation and you will not be charged again. If the Customer decides to terminate, the Customer may download all its data into an Excel, or PDF document prior to termination. Refunds will only be granted for annual payments made for the quarter/s following the date of cancellation services.
Modification to Services and Pricing:
Pricing and modification of all Services, including but not limited to monthly or quarterly subscription fees to the Service, are subject to change. Such notice may be provided by posting the changes to the Bookkipper website (bookkipper.com). Existing customer’s subscription fees will not be increased during the term of their agreement. However, services that are up for renewal will automatically follow the new service and pricing as posted in the website.
Service Level Commitment:
We accept only email support questions from 8AM to 5PM Philippines time, Monday through Friday, excluding Philippine national holidays. We attempt to respond to email questions within two business day; in practice, our responses are generally even faster. We do not promise or guarantee any specific response time.
Communications:
By creating an account on our service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send. Bookkipper may be required by law to send you communications about the Services or third-party products. You agree that Bookkipper may send these communications to you via email or by posting them on our websites.
Confidentiality:
All materials produced or acquired under the terms of this engagement – written, graphic, film, magnetic tape, or otherwise – shall remain the property of the customer and shall continue, notwithstanding the termination of this engagement unless such information is already publicly available. Our staff will not disclose any proprietary or confidential information relating to this engagement except when it is required by law or the information has become generally available to the public. You are responsible for securely managing your password(s) for the Services and to contact Bookkipper if you become aware of any unauthorized access to your account.
Data Privacy:
Bookkipper adheres to the Republic Act No. 10173 or the Data Privacy Act of 2012 (DPA), its Implementing Rules and Regulations, and other relevant policies, including issuances of the National Privacy Commission. Bookkipper respects and values your data privacy rights and makes sure that all personal data collected from you, our clients and customers, are processed in adherence to the general principles of transparency, legitimate purpose, and proportionality. When you use our services, you acknowledge that Bookkipper will process your personal information as described in accordance with Republic Act No. 10173 or the Data Privacy Act of 2012. You also agree that Bookkipper may use your queries, feedback, suggestions, or ideas in any way, including in future modifications of the services, other products or services, advertising or marketing materials. You grant Bookkipper a perpetual, worldwide, fully transferable, non-revocable, fully paid-up, royalty free license to use the feedback you provide to Bookkipper in any way. In the event of a data breach, Bookkipper will notify affected users within 72 hours of detection.
Changes:
Bookkipper shall have the right, in its sole discretion and with reasonable notice posted on our website and emailed to your email address as provided by you in the Sign-up / Registration Data, to revise, update, or otherwise modify the Services of Bookkipper.. We may also change or discontinue the Services, in whole or in part. It is important that you review this Agreement whenever we modify it because your continued use of the Services indicates your agreement to the modifications.
